1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Subsume ("we", "us", or "Company") governing your access to and use of our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

Subsume provides real-time speech-to-text captioning and translation services, including:

  • Live audio transcription using AI-powered speech recognition
  • Real-time translation of captions into multiple languages
  • Shareable caption streams for audiences
  • Session history and transcript export
  • Team and organization management features

The Service requires an internet connection and compatible audio input device. Features may vary based on your subscription plan.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 13 years old (or 16 in the EEA) to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Credits, Billing, and Payment

4.1 Credit System

The Service operates on a credit-based system. Credits are consumed based on captioning duration and features used (e.g., translation to multiple languages consumes additional credits). One credit equals one minute of transcription. Translation to one language is included; additional translation languages consume one credit per language per minute.

4.2 Free Trial

New accounts receive a limited free trial allocation. Free trial credits expire and cannot be transferred or refunded.

4.3 Paid Plans

Paid subscription plans provide monthly credit allocations. Unused subscription credits do not roll over to the next billing period unless otherwise specified in your plan.

4.4 Credit Packs

You may purchase one-time credit packs to supplement your subscription. Purchased credits never expire and are consumed only after your subscription credits are depleted.

4.5 Payment Processing

Payment processing is provided by Stripe, Inc. ("Stripe"). By subscribing to a paid plan or purchasing credits, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full credit card number; payment information is securely handled by Stripe.

4.6 Payment Terms

  • All fees are quoted and charged in US Dollars (USD)
  • Subscription fees are billed in advance on a recurring monthly basis
  • You authorize us to charge your payment method on file for recurring subscription fees
  • Failed payments may result in service suspension until payment is resolved
  • You are responsible for any taxes applicable to your purchase

4.7 Subscription Upgrades and Downgrades

You may change your subscription plan at any time through your account settings or the Stripe Customer Portal:

  • Upgrades: Take effect immediately. You will be charged a prorated amount for the remainder of your current billing period. Your credit allocation will reset to the new plan's full monthly allocation.
  • Downgrades: Take effect at the end of your current billing period. You retain access to your current plan until the period ends, at which point your credit allocation will reset to the new plan's allocation.

4.8 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • You retain access to any remaining subscription credits until the period ends
  • Purchased credit pack credits do not expire and remain available
  • No refunds are provided for unused portions of the billing period

4.9 Refunds

Refunds are provided at our discretion. Generally, we do not provide refunds for unused credits or partial subscription periods. Contact billing@subsume.io for billing inquiries.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may NOT:

  • Violate any applicable laws, regulations, or third-party rights
  • Transcribe content you do not have the right to record or share
  • Use the Service to process or distribute illegal, harmful, threatening, abusive, harassing, defamatory, or obscene content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers/networks connected to it
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated means (bots, scrapers) to access the Service without permission
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service in a manner that exceeds reasonable usage or constitutes abuse

We reserve the right to investigate violations and take appropriate action, including suspension or termination of your account.

6. Your Content and Data

6.1 Ownership

You retain all ownership rights to the audio you input and the transcript content generated by the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide license to process, store, and transmit Your Content solely to provide the Service to you. This license terminates when you delete Your Content or your account.

6.3 Your Responsibilities

You are solely responsible for Your Content and ensuring you have all necessary rights and permissions to use the Service with your audio. This includes obtaining consent from any individuals whose voices are being transcribed.

6.4 Shared Content

If you share caption streams publicly, you are responsible for the content being shared and any consequences of such sharing.

7. Intellectual Property

The Service, including its design, features, code, documentation, and branding (excluding Your Content), is owned by Subsume and protected by copyright, trademark, and other intellectual property laws.

"Subsume" and our logo are trademarks of Subsume. You may not use our trademarks without prior written permission.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works.

8. Service Availability and Modifications

8.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. For material changes that negatively affect your use, we will provide reasonable notice where practicable.

8.3 Third-Party Dependencies

The Service relies on third-party providers for speech recognition, translation, and infrastructure. Changes to these providers may affect Service functionality.

9. Accuracy Disclaimer

While we strive for high accuracy, speech-to-text transcription is not perfect. You acknowledge that:

  • Transcripts may contain errors, omissions, or inaccuracies
  • Accuracy depends on audio quality, accents, background noise, and other factors
  • Translations are machine-generated and may not capture nuance or context
  • The Service should not be relied upon as the sole record for legal, medical, or other critical purposes

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBSUME AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow limitations on liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Subsume and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to use the Service ceases immediately.

13.2 Termination by Us

We may suspend or terminate your account at any time for any reason, including violation of these Terms, fraudulent activity, or extended inactivity. We will provide notice where practicable.

13.3 Effect of Termination

Upon termination, your access to the Service ends and we may delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive (e.g., intellectual property, limitation of liability, indemnification).

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and revising the "Last updated" date. For significant changes, we may also notify you via email.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Subsume.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
  • No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship.
